Equilibrium Intertrade Corporation’s Coffee Machine Trade-Up Program: Terms & Conditions

I. Official Terms

1.1. What these terms cover. These are the terms and conditions on which you may take part in our Coffee Machine Trade-Up Program (“Trade-in Program”), which provides you with the option to get a reduction in price for selected new Rancilio, Synesso, Bezzera, or Mazzer machines (“New Machine”) purchased through our website (Equilibrium Intertrade Corporation) or through our physical offices in exchange for trading in your existing coffee machine (“Existing Machine”).  The Trade-in Program is offered subject to New Coffee Machines being in stock and available on the website. The level of discount which you may receive will vary, depending on the model of Existing Coffee Machine that you would like to trade in and the condition of your Existing Machine, which are evaluated by our Technicians. The offer is limited to one New Coffee Machine per order and trade-in. Any further evaluations of Existing Coffee Machines under the Trade-in Program may likewise be rejected at our sole discretion. We may also refuse to accept any orders placed for New Coffee Machine (or cancel any such orders) using this Trade-in Program, where we have reasonable grounds to suspect fraud or other reasons after careful evaluation from our Technician Team. 

1.2. Why you should read them. Please read these terms carefully if you would like to take part in the Trade-in Program. These terms tell you the conditions and other important information related to the Trade-in Program and other important information. 


II. Coffee Machine Trade-Up Program: Overview

2.1. How to take part in the Coffee Machine Trade-Up Program. Upon filling up the information on our Online Application Form, which is accessed in our website, social media, or provided a link through email and other message platforms given by our Official Sales, CSR, or Technician Personnel, you will be contacted by our team for your Existing Coffee Machine evaluation on your preferred date or when a Technician Personnel’s schedule is available within 1 to 3 business days upon filling up the Online Application Form. You must completely and accurately input information about your Existing Coffee Machine, as this will be subject for physical assessment and evaluation by our assigned Technician personnel from our team, who will proceed to your location.

2.2. The offer to take part in the Trade-in Program is available to B2B and B2C clients.

2.3. Your participation in the Trade-in Program is subject to you turning over your Existing Coffee Machine to our Technician and Sales personnel, after your Assessment Period and Agreement to the Trade-In Value.

2.4.  The Trade-In Value of your existing coffee machine will be determined based on its condition, as assessed by our Technician. You, along with our Technician and Sales Team, will discuss and agree on the final Trade-In Value. Once confirmed, this amount will be applied as a discount toward the purchase price of a New Coffee machine, as reflected in the Sales Invoice. If you accept the Trade-In Value offer for your Existing Coffee Machine, our Technician and Sales Team will proceed with drafting the Trade-In Agreement & Consent Form for your New Coffee Machine purchase. Once the trade-in is accepted, the transaction will be final. No refunds or returns will be issued for the traded-in coffee machine. 

2.5. The remaining balance can be paid via cash, post-dated check, or online bank transfer. It is your responsibility to ensure that all payment details, including your order number and the exact amount to be paid, are correctly entered when making a bank transfer to Equilibrium Intertrade Corporation. Please note that no other payment methods are accepted. Any cash payments or transfers made to accounts not officially designated by Equilibrium Intertrade Corporation will not be recognized, and the company will not be held liable for such transactions.

2.6. The balance of the Statement of Account must be FULLY PAID on or before the Delivery Schedule of the New Coffee Machine and the Sales Invoice will be given upon FULL PAYMENT. You may opt to pick it up in any of our Equilibrium Intertrade Corporation offices - nationwide. 

2.7. Other than as specified in these terms and conditions, our standard policies such as the: Refund Policy, Shipping Policy, Privacy Policy, and Terms of Services will govern your purchase of the New Coffee Machine and any other products purchased from our website.

3. Trading in your Existing Coffee Machine

3.1. If you decide to take part in the Trade-in Program, you must provide your Existing Coffee Machine to us. Equilibrium Intertrade Corporation is not liable for any damages or loss of your Coffee Machine during transit for Assessment and Evaluation period. Customers are responsible for safely delivering their Coffee Machines for Assessment and Evaluation. 

3.2. Please note that the option to receive the full value of discount for your Existing Coffee Machine is only available if your Existing Coffee Machine meets the requirements set out below (“Minimum Requirements”). Please note that if you are trading in a broken or faulty Existing Device the terms of clause 3.4 apply, instead of these Minimum Requirements.

Minimum Requirements:

The Existing Coffee Machine must be owned by you, must match the make, model, and condition you declared prior to ordering your New Coffee Machine. Please provide the Proof of Acquisition and Proof of Payment - as originally purchased from Equilibrium Intertrade Corporation (e.g. Sales Invoice) - to identify the acquisition date and to determine that you are the true owner of your coffee machine.

It must also meet the following functionality criteria:

  • It must fully power on & off, with no electrical malfunctions.
  • It must be fully functional and must have no software or hardware faults.
  • It must only have normal wear and tear and must be physically intact with no major structural damage (e.g., no broken housing, missing panels, severely rusted parts, crushed or bent in half).
  • It must have all original components and accessories (e.g., portafilters, steam wand, group head, drip trays, water tanks, hoppers for grinders).
  • It must be factory reset and have no software locks - all coffee machines must have their custom profiling systems removed.
  • It must not have an outstanding credit or finance balance associated with it.
  • It must not have been stolen, or acquired/derived from the proceeds of, or through any criminal activity such as robbery, theft, and other similar illegal circumstances.
  • It must be original and meet the manufacturer’s original specifications (and is not personalized with any custom engraving). For example, the entire color of the device must match the original manufacturer’s specification.

3.3. Please note that we inspect all Existing Coffee Machines that are provided as part of the Trade-in Program. If the Existing Coffee Machine which you are proposing to trade-in does not meet the Minimum Requirements (or the present condition does not match the Existing Coffee Machine information you declared prior in our Application Form) will provide a final trade-in value, based on the reassessment of the actual Existing Coffee Machine. You may opt to proceed with the transaction or opt out of the Trade-in Program.

3.4. Should your Existing Coffee Machine not meet the requirements detailed above (with the exception of stolen devices and similar illegal circumstances), you may still trade in your Existing Coffee Machines by declaring the defects via the assessment questionnaire during the trade-in process on our website/app. Where you are trading in a defective Existing Coffee Machine, a lower trade-in value will be given as a discount. Please note that we cannot accept defective Existing Devices where:

  • It cannot be powered on or up.
  • It is deemed not original and does not meet the manufacturer’s original specifications (or if it is personalized with any custom engraving). For example, if the entire color of the device does not match the original manufacturer’s specification.
  • It is missing critical parts that make them non-operational or deemed beyond repair (e.g., burnt circuit boards, cracked boilers).
  • The Existing Coffee Machine has an outstanding credit or finance balance associated with it.

LEGAL DISCLAIMER AND INDEMNIFICATION:

The Trade-in Program shall be subject to our continuous adherence to any applicable law, rules and regulations.

Your surrendering of your Existing Coffee Machine shall always be subject to our Right to verify ownership of your Existing Coffee Machine, such as but not limited to, asking for documentary proof that you have legal ownership or possession of the Existing Coffee Machine. You, as the declared lawful owner of the Existing Coffee Machine, shall hereby indemnify and hold harmless Equilibrium Intertrade Corporation, its affiliates, officers, employees, authorized personnel or contractors from any and all claims, including legal implications or liabilities, arising from your breach of this terms and any form of untruthful statement or misdeclaration of such fact pursuant hereunder.

Upon discovery that you have breached or misdeclared ownership or lawful possession of the Existing Coffee Machine, we reserve the right at any time to withhold, suspend or terminate the Trade-In Program, without prejudice to any and all rights or remedies available to us and/or actions as warranted by applicable laws.

4. Your rights

4.1. Entering into the Trade-in Program does not prevent you from exercising your rights to cancel your order prior to the order shipment or prior to the delivery or completion of the trade-in process (if the order is already shipped).

4.2. Taking part in the Trade-in Program does not affect any statutory rights you may have, including your rights under the Consumer Act of the Philippines.  

5. How we may use your personal information

5.1. How we will use your personal information. We will use the personal information you provide to us in accordance with the terms of our privacy policy, which can be found here: https://equilibrium.com.ph/policies/privacy-policy 

If you wish to withdraw your consent to us processing your personal data, please contact us using one of the contact methods mentioned on the privacy policy page or via the contact options provided here.

5.2. Please note that in order to take part in the Trade-in Program, you must have an Equilibrium Intertrade Corporation account and use it to login, or at least provide the necessary shipping information to complete an order as a Guest. As covered by our privacy policy, we share your shipping and contact information for the purpose of collecting your Existing Coffee Machine and delivering the New Coffee Machine.

5.3. We will only give your personal information to other third parties where the law either requires or allows us to do so. 

6. Other important terms

6.1. Nobody else has any rights under this contract. This contract is between you and us. No other person shall have any rights to enforce any of its terms.

6.2. To be eligible to participate in the Trade-in Program, you must be a Philippine resident aged 18+ (or have obtained your parent or guardian’s consent to the relevant sale for the relevant sum).

6.3. If a court finds part of this contract illegal, the rest will continue in force. Each of the paragraphs of these terms operates separately. If any court or relevant authority decides that any of them are unlawful, the remaining paragraphs will remain in full force and effect. 

6.4. Which laws apply to this contract and where you may bring legal proceedings. These terms are governed by Philippine laws and any dispute, controversy or claim shall be settled by courts in the Philippines.
